The book is structured into two primary thematic sections:

​This section examines the movement and management of capital within a company.

  • ​Inter-corporate Transactions: Deep dive into Sections 185 and 186, covering loans, guarantees, and securities, including what is prohibited versus what is exempt.
  • ​Dividends and Reserves: Detailed breakdown of dividend declarations, preference shareholder rights, and the role of the Investor Education and Protection Fund (IEPF).
  • ​Restructuring: How different types of reserves (capital, free, revaluation) impact buy-backs, bonus issues, and corporate restructuring.

​2. Accountability and Liability

​The second half shifts toward the “human” element of corporate governance—who is responsible when things go wrong.

  • ​Auditor Duties: Analysis of audit obligations, the duty of care, and legal liability for negligence or failure to report fraud.
  • ​Criminal Liability: Exploration of vicarious liability and mens rea (guilty mind) in a corporate context, determining how a company—or its directors—can be held criminally responsible.
  • ​Personal Risk: Identification of specific circumstances where the “corporate veil” is pierced, making officers personally liable for company actions.

Throughout the book, Statutory provisions are interpreted in the light of judicial precedents from Indian courts and comparative English jurisprudence. The emphasis is on understanding the rationale behind the law and its practical application, rather than mere procedural compliance.

About The Author

Dr. K R Chandratre is a Practising Company Secretary of about 23 years’ standing. He has been associated with the profession of Company Secretary for over 45 years. Prior to entering the profession, he served for three vears as a Lecturer in Commerce and Accountancy at R. A. Podar College of Commerce & Economics, Mumbai.
